Loeb & Loeb LLP Corporate Associate in New York, New York

Draft, edit, review and negotiate various transactional documents, such as stock and membership interest purchase agreements, merger agreements, and asset purchase agreements, in connection with clients' sales, acquisitions and investments. Attend conference calls with clients to discuss business terms and legal issues. Prepare closing documents for such transactions; draft, edit, review and negotiate corporate governance documents, such as operating agreements, certificates, bylaws, stockholder and limited liability company agreements and other investor-related agreements in connection with client reorganizations, investment rounds, acquisitions; provide guidance to clients regarding general corporate and governance matters; and perform due diligence on companies to gain insights into their businesses in relation to mergers and acquisitions or other business transactions. Create due diligence reports and participate in meetings with companies' management teams to deliberate on various matters connected to transactions and our clients' businesses.Minimum requirements-Juris Doctor (J.D.) or foreign equivalent required; five (5) years of experience as an attorney required, which must include: Representing companies and private equity firms in connection with cross-border and domestic asset and share sales and purchases, mergers, corporate restructurings; prepare disclosure schedules and legal diligence memoranda; reviewing and negotiating buy-side and sell-side non-disclosure agreements; drafting and revising merger agreements, asset purchase agreements, share purchase agreements and other ancillary transaction documents, including assignment and assumption agreements, registration rights agreements, shareholders agreements, disclosure schedules, SEC filings, officers’ certificates and restructuring documents; drafting legal due diligence memoranda; drafting and revising corporate organization documents including charters, bylaws, certificates of formations, operating agreements and authorizing resolutions of entities formed in connection with mergers and acquisitions; coordinating with in-house business functions and business consultants; representing public companies on initial public offerings, common stock and preferred stock offerings and asset backed financings; and managing client teams and local counsel in non-U.S. jurisdictions, including due diligence processes. New York State Bar Licensure required.

Minimum Salary: 305,000 Maximum Salary: 305,000 Salary Unit: Yearly
